1. Who we are
Wedigitify LLC (Delaware, USA) operates iKash at ikash.biz and provides payment orchestration — routing, cascade failover, and related software tools that connect merchants to third-party payment service providers (PSPs). Unless a signed written agreement expressly states otherwise, iKash is not a bank, not an acquirer, not a money transmitter, and not the Merchant of Record for goods or services sold by merchants.
2. Acceptance
By accessing ikash.biz, creating a merchant account, or using our APIs or checkout flows, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the services.
Merchants may also be required to accept a separate Merchant Agreement. If there is a conflict, the signed Merchant Agreement controls for that relationship.
3. Nature of the service
- iKash routes payment requests to PSPs that you or our partners have onboarded.
- Settlement, payouts, and card-network liability typically sit with the merchant and/or the PSP holding the merchant ID (MID), not with iKash as orchestration software.
- We do not sell merchandise or any merchant products to end customers.
- Customer support for products, shipping, and refunds is the merchant’s responsibility.
4. Merchant obligations
If you process payments through iKash, you represent and warrant that you will:
- Operate a lawful business with all required licenses, registrations, and product approvals for your vertical and jurisdictions.
- Publish clear Terms, Privacy, Shipping, and Refund/Return policies on your storefront, findable from every page.
- Use a recognizable billing descriptor that matches your brand.
- Only process SKUs and product categories approved under your onboarding (or an agreed allowlist).
- Not mislabel restricted, illegal, or high-risk products (e.g. describing prohibited goods as benign items).
- Maintain accurate KYB/KYC information and notify us of material changes (ownership, website, catalog, volume spikes).
- Retain transaction evidence (delivery proof, customer communications, auth/3DS records) for at least 18 months.
- Comply with card-network rules, PSP terms, AML/CFT laws, and consumer protection laws that apply to you.
5. Acceptable use & prohibited activity
You may not use iKash to process or facilitate:
- Illegal goods or services, weapons trafficking, or controlled substances sold without lawful authority.
- Products or marketing that violate card-network programs (including restricted pharmaceuticals / BRAM-style prohibitions) applicable to your MID.
- Fraud, money laundering, sanction evasion, or identity misrepresentation.
- Transactions you know (or should know) will generate excessive chargebacks or disputes.
We may suspend or terminate access, require remediation, or refuse routing if we reasonably believe these Terms or law are breached.
6. Refunds
End customers: Refunds and returns are between you and the merchant who sold the product. Contact the merchant using the details on their website or receipt. iKash does not set merchant return policies and does not sell the goods.
Merchants: You must honour a clear, published refund policy and process approved refunds promptly through the appropriate PSP path. Prefer resolving customer complaints with refunds before they become chargebacks.
7. Chargebacks & disputes
- Chargebacks are assessed by card issuers and PSPs under network rules.
- Where funds settle to the merchant’s MID/PSP, chargeback amounts, per-dispute fees, and related network assessments are the merchant’s responsibility (passed through by the PSP), unless a written agreement says otherwise.
- Merchants must keep chargeback ratios within network and acquirer limits and use dispute-prevention tools where required.
- iKash may pause routing, require reserves, or terminate merchants who exceed risk thresholds.
8. Reserves, fees & payouts
Depending on your Merchant Agreement and PSP arrangement, merchants may be subject to:
- Rolling reserves (commonly starting around 10% for new high-risk accounts, reducible to ~5% after a clean period).
- Delayed payouts, volume caps, or holdbacks.
- Pass-through chargeback fees, scheme fines, and penalty assessments.
Orchestration platform fees (if any) are as quoted in your commercial agreement or dashboard. PSP acquiring rates are set by the relevant PSP, not unilaterally by these website Terms.
9. Website visitors & leads
Public pages, contact forms, and chat are for information and sales enquiry only. Submitting a lead does not create a processing relationship. We may decline any application.
10. Intellectual property
iKash branding, software, documentation, and site content are owned by iKash or its licensors. You may not copy, reverse engineer, or resell the platform except as allowed by a written agreement.
11. Disclaimer of warranties
Services are provided on an “as is” and “as available” basis. We do not warrant uninterrupted uptime, any particular approval rate, that a given PSP will accept your vertical, or that routing will prevent account freezes at third-party PSPs. Payment outcomes depend on issuers, networks, and PSPs outside our control.
12. Limitation of liability
To the fullest extent permitted by law, iKash is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost data. Our aggregate liability arising out of website use or orchestration services is limited to fees you actually paid to iKash for the services giving rise to the claim in the three (3) months before the event, or USD 100 if no fees were paid — except where liability cannot be limited by law (e.g. fraud or death/personal injury caused by negligence).
We are not liable for merchant product quality, shipping failures, regulatory status of merchant catalogs, or PSP underwriting decisions.
13. Indemnity
Merchants agree to indemnify and hold harmless iKash and its officers from claims, losses, fines, chargebacks, scheme assessments, and costs (including reasonable legal fees) arising from: your products or marketing; your customers; your breach of these Terms or law; fraud or restricted activity on your account; or disputes between you and your customers or PSPs.
14. Suspension & termination
We may suspend or terminate access immediately for suspected fraud, illegal activity, excessive chargebacks, material misrepresentation, or breach of these Terms. You may stop using the services at any time. Provisions that by nature should survive (liability, indemnity, IP, chargeback responsibility) survive termination.
15. Changes
We may update these Terms by posting a revised version on this page. Material changes for active merchants will be communicated through the dashboard or email where practical. Continued use after the update constitutes acceptance.
16. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, unless your signed Merchant Agreement specifies another jurisdiction. Exclusive jurisdiction and venue lie in the state or federal courts located in Delaware, subject to mandatory consumer protections that cannot be waived.
